Terms of Service

These terms govern your use of Warden, the European register and audit trail for AI agents operated by FlowVolt. They apply to every customer that signs up, every prospect that books a call, and every visitor that uses this website. By signing up or sending an API request, you agree to them in full.

1. The Service

Warden is a software-as-a-service product that lets you register every AI agent your company runs, log every action each agent takes, set per-agent mandates, and generate the EU AI Act compliance dossier from the resulting audit trail. The website at warden.flowvolt.io, the REST API at /api/warden/*, the MCP server at /api/mcp, and any future surfaces we operate under the Warden brand are collectively the “Service”.

2. Your account

You may sign up using any work email address. You are responsible for everything done under your tenant slug and your API keys. Keep your API keys secret. If a key is compromised, rotate it in the dashboard and tell us at security@flowvolt.nl.

3. Acceptable use

You will not use the Service to record AI agents whose purpose is illegal under EU law, Dutch law, or the law of the country where your company is registered. Specifically, the Article 5 prohibited uses of the EU AI Act (social scoring, real-time biometric identification in public spaces, subliminal manipulation) are out of scope and not supported.

You will not attempt to circumvent rate limits, mirror our database, run automated stress tests without prior written agreement, or scrape Glass Workforce data for purposes other than your own compliance recordkeeping.

4. Subscription and payment

4.1 Tiers

The Free tier covers up to five registered agents with no card on file. Paid tiers (Team and Company) are billed monthly or annually in advance through Stripe. Annual plans include a twenty percent discount. Prices are listed in euros at warden.flowvolt.io/#price.

4.2 Payment terms

Stripe charges your card on the day of upgrade and on each renewal date. Failed renewals downgrade your tenant to Free after a fourteen-day grace period. You can cancel any paid plan from /workspace/billing and access continues until the end of the current paid period.

4.3 Refunds

We offer a thirty-day money-back guarantee on your first paid invoice. Mail lars@flowvolt.nl within thirty days of upgrading and we refund without questions.

4.4 Taxes

Prices exclude VAT. EU business customers with a valid VAT number are charged at zero percent under the reverse-charge mechanism. Customers without a VAT number are charged at the applicable local rate via Stripe Tax.

5. Your data and our data

You own everything you record in Warden: agent register entries, audit log events, intake answers, dossier exports. We process this data on your behalf as a data processor under the terms of the Data Processing Agreement, which is incorporated into these terms by reference.

We own the Service itself, the underlying software, the Warden trademark, and any aggregate, anonymised analytics about how the Service is used.

We never use your data to train AI models. We do not share your data with third parties except the sub-processors listed in the DPA.

6. Service level

We target ninety-nine point five percent uptime on a monthly basis, excluding scheduled maintenance. We do not offer a formal SLA at the Free or Team tiers. Company tier customers receive a service credit equal to ten percent of the monthly fee for each full hour of unscheduled downtime above the target. Service credits are issued on request.

7. Termination

You can delete your tenant from /workspace at any time. We delete your tenant data within thirty days of deletion, except where law requires longer retention (notably the six-month minimum on AI Act audit logs under Article 26).

We can suspend or terminate accounts that violate the acceptable use policy, do not pay, or risk our infrastructure. We will give you at least seven days’ written notice unless the breach is urgent (e.g. security, legal injunction).

8. Warranties and liability

We provide the Service on an “as is” basis. We do not guarantee that Warden will make you legally compliant with the EU AI Act on its own — that depends on your operational practices, your legal review, and your inputs. We provide tooling; you provide judgement.

Our aggregate liability for any claim arising out of the Service is capped at the amount you paid us in the twelve months before the claim was made.

9. Changes

We may update these terms. Material changes are announced at least fourteen days in advance at warden.flowvolt.io and by email to the address on file. Continued use after the effective date is acceptance of the change.

10. Governing law and disputes

These terms are governed by Dutch law. Any dispute that cannot be resolved by direct discussion is brought before the courts of Utrecht, the Netherlands. EU consumer protection law remains available where it applies.
